1. Agreement to Terms

3. Use of Services

3.1 Eligibility

You must be at least 18 years old to use our services. By using our services, you represent and warrant that you meet this requirement and have the legal capacity to enter into these terms.

3.2 Account Responsibility

If you create an account with us, you are responsible for maintaining the security of your account and all activities that occur under it. You agree to notify us immediately of any unauthorized use of your account.

3.3 Prohibited Uses

You agree not to:

Upon full payment for custom development services, you retain ownership of any custom code, designs, and deliverables specifically created for you under a separate service agreement. We retain the right to use general methodologies and code libraries developed during the project.

5. Payment Terms

• Pricing: All fees are as quoted and may be updated with reasonable notice
• Invoicing: Invoices are due within the specified payment terms
• Late Payments: May incur interest at 1.5% per month and suspension of services
• Refunds: Subject to individual project agreements; no refunds for completed work
• Taxes: You are responsible for all applicable taxes

6. Project Delivery

• Project timelines are estimates and may be adjusted with client communication
• Changes in scope may affect pricing and delivery dates
• Acceptance testing periods are specified in project agreements
• Final delivery occurs upon client approval or deemed acceptance

7. Confidentiality

We treat all client information as confidential and will not disclose it without permission, except as required by law. This includes:

• Business strategies and plans
• Technical specifications and source code
• Customer data and financial information
• Trade secrets and proprietary information

Our confidentiality obligations survive the termination of this agreement.

8. Limitation of Liability

To the maximum extent permitted by law, ViatechSystems shall not be liable for:

• Indirect, incidental, or consequential damages
• Loss of profits, revenue, data, or business opportunity
• Damages exceeding the amount paid for services in the past 12 months
• Third-party claims unless caused by our gross negligence

9. Warranties and Disclaimers

Services are provided "as is" without warranties of any kind, either express or implied. We do not guarantee that:

• Services will be uninterrupted or error-free
• Defects will be corrected
• The website or servers are free of viruses

10. Indemnification

You agree to indemnify and hold ViatechSystems harmless from any claims, damages, losses, and expenses arising from your use of our services, violation of these terms, or infringement of any third-party rights.

11. Termination

We may terminate or suspend your access to our services immediately, without prior notice, for conduct that violates these terms or is harmful to other users. Upon termination, your right to use the services will cease immediately.

12. Governing Law

These terms are governed by the laws of Pakistan, without regard to conflict of law provisions. Any legal actions shall be brought exclusively in the courts of Lahore, Pakistan.

13. Dispute Resolution

Any disputes shall first attempt resolution through good-faith negotiations. If unresolved, they shall be submitted to binding arbitration in Lahore, Pakistan, in accordance with Pakistani arbitration laws.

14. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting. Your continued use of services after changes constitutes acceptance of the modified terms.

15. Severability

If any provision of these terms is found unenforceable, the remaining provisions remain in full effect. The invalid provision shall be modified to the minimum extent necessary to make it enforceable.

16. Entire Agreement

These terms constitute the entire agreement between you and ViatechSystems regarding use of our services, superseding any prior agreements or understandings.
